Berlin, 09.01.2013 .: OUR TERMS OF BUSINESS :. 1. General conditionsAll orders are accepted and carried out on the basis of the following terms and conditions. These terms and conditions are considered as acknowledged by the offeror or searcher by placing the order or accepting the commission. Any deviation from this requires our written confirmation. Any terms or the offeror or searcher included in his conditions of business which occasionally may not completely match with our terms of business, do not come into operation by accepting a commission order. Our terms and conditions are also applicable to all following business operations and legal relations with the client even if they have not been expressly approved. Verbal statements and arrangements require our written approval before they come into operation. The seller commits himself to give us information about the details we need (for instance the sales price etc.) after the commission operation has been successful. Advise: Before we forward any data of customers or arrange an inspection one have to announce the buyer, resp. seller (end customer resp. direct vendor) Absolute customer protection is assured. Furthermore it should be guaranteed that the buyer have the financial ability to purchase the contract goods. (e.g. Submit a Letter of intent (LOI)) As a general rule, inspections are only carried out with end customers. The advertising price does not include the provision for our intermediation services! We reserve the right to demand a service charge before any further forwarding of data. This fee will be repayed after a veryfied unsuccessful intermediation or will rather be allocated with our provision in case of a successfull bargain. 2. Offer and performance
3. PaymentIf there do not exist other agreements, our terms of payment are as follows: Transfer to the account of upon receipt of the invoice (engrossed in duplicate). The payment has to be made in the currency stipulated by us. 5. Place of performance and jurisdictional venueAll possible disputes resulting from the supply contract are to be settled finally by arbitration of the International Chamber of Commerce by one or several approved arbitrators. In the case that no agreement results from this procedure it is agreed that any dispute due to the supply contract or in relation to this will be subject to the German Law with the town of Berlin as the relevant jurisdictional venue.
